These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you,” “your,” “Client,” or “User”) and Leadesigned (“Leadesigned,” “we,” “us,” or “our”), governing your access to and use of the website located at https://leadesigned.com (the “Website”) and any services, products, content, or features we provide (collectively, the “Services”).

By accessing or using the Website or Services, by engaging Leadesigned for any service, or by providing your consent to receive communications from us, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Website or Services.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. Description of Services

Leadesigned is a digital marketing and website design studio. We provide services that may include, without limitation: digital marketing strategy, campaign setup, and management; website design and development; landing page design and development; marketing automation, customer relationship management (CRM), and communication workflows delivered through third-party platforms, including GoHighLevel; and SMS, email, and related marketing or transactional messaging services configured on your behalf or operated for our own client communications.

Certain Services rely on third-party tools and platforms, including but not limited to GoHighLevel. Your use of those platforms may also be subject to the respective third party’s own terms and policies. Leadesigned is not responsible for the availability, performance, or conduct of any third-party platform.

The specific scope, deliverables, timelines, and fees for any engagement will be set out in a separate proposal, statement of work, invoice, or written agreement (“Service Agreement”). In the event of a conflict between these Terms and a signed Service Agreement, the Service Agreement controls with respect to that engagement.

3. User Responsibilities

By using the Services, you agree that you will provide accurate, current, and complete information when requested; obtain and maintain all consents, permissions, and rights necessary for any content, contact data, or materials you provide to us, including consent from individuals before they are contacted via SMS, email, or other channels; comply with all applicable laws, regulations, and industry standards, including telecommunications, marketing, anti-spam, and data protection laws; maintain account credential confidentiality; pay all fees owed to Leadesigned; and promptly notify us of any unauthorized use or security breach.

You are solely responsible for the content, accuracy, and legality of any data, messaging lists, creative materials, or instructions you supply to us.

4. Acceptable Use

You agree not to use the Website or Services to violate law or third-party rights; send unsolicited, unlawful, deceptive, or unauthorized messages; transmit unlawful, harassing, defamatory, obscene, fraudulent, or infringing content; distribute malware or disruptive code; attempt unauthorized access; interfere with the Website or Services; reverse engineer, copy, or resell the Services except as permitted; or promote prohibited goods, services, or content restricted by carrier or platform rules, including GoHighLevel and mobile carrier requirements.

We reserve the right, but are not obligated, to investigate and take appropriate action against anyone who violates this section, including suspending or terminating Services and reporting violations to relevant authorities.

5. SMS Messaging Terms

This section applies to all SMS/text message programs operated by Leadesigned, including messaging configured through GoHighLevel. These terms are designed to comply with A2P 10DLC requirements, CTIA guidelines, and carrier rules. Consent is not a condition of purchasing goods or services. Message frequency varies. Message and data rates may apply. You can cancel SMS service at any time by replying STOP, or reply HELP for assistance. Carriers are not liable for delayed or undelivered messages. We do not share or sell mobile opt-in data or consent to third parties for their own marketing purposes.

6. Intellectual Property

The Website, Services, and related content, including text, graphics, logos, designs, software, and the “Leadesigned” name and branding, are owned by or licensed to Leadesigned and protected by applicable intellectual property laws. Ownership of work product and deliverables created for a Client will be governed by the applicable Service Agreement. Unless otherwise agreed in writing, ownership of final, paid-for deliverables transfers to the Client upon receipt of full payment. You retain ownership of content and materials you provide to us and grant Leadesigned a non-exclusive license to use, reproduce, and modify that content solely as necessary to perform the Services.

7. Disclaimers

THE WEBSITE AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, LEADESIGNED DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. Digital marketing and design results depend on many factors outside our control, and examples or projections are not guarantees.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL LEADESIGNED, ITS OWNERS, EMPLOYEES, OR CONTRACTORS BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES. TO THE FULLEST EXTENT PERMITTED BY LAW, LEADESIGNED’S TOTAL AGGREGATE LIABILITY WILL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO LEADESIGNED FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY.

9. Indemnification

You agree to indemnify, defend, and hold harmless Leadesigned and its owners, employees, and contractors from and against claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to your use of the Services, violation of these Terms, violation of law or third-party rights, messaging consent or contact data you provide, or content and materials you supply to us.

10. Term and Termination

These Terms remain in effect while you use the Website or Services. We may suspend or terminate your access at any time, with or without notice, if we believe you have violated these Terms or applicable law. Termination of any engagement is otherwise governed by the applicable Service Agreement.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of Malaysia, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the courts of Malaysia, unless otherwise required by applicable law.
